Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Asimov MCP (Model Context Protocol) server platform, website, and related services (the "Services"). By using the Services, you agree to be bound by these Terms.

1. Eligibility and Accounts

  • You must be at least 16 years old to use the Services.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must provide accurate and complete information when creating or updating your account.

2. Use of the Services

  • You may use the Services only in compliance with these Terms and all applicable laws. You must not use the Services to store or transmit malicious code, violate intellectual property rights, or for illegal, harmful, or abusive activities.
  • You are responsible for content you upload, sources you index (e.g., GitHub repositories, documentation websites), memories you store, and files you manage. You must ensure you have the necessary rights to use that content with the Services.
  • The Services provide an MCP server for AI coding agents and assistants. You are responsible for how you configure and use your AI agents with our platform, including any actions taken by those agents using our tools.
  • Some features rely on third‑party services (e.g., Stripe for payments). Your use of those integrations is subject to their terms and policies, in addition to these Terms.

3. AI Coding Agents and Outputs

The Services provide an MCP server that enables AI coding agents (such as Claude Code, Cursor, and others) to access memory, context, and indexed sources. AI-generated outputs and agent actions can be incorrect, incomplete, or otherwise unreliable. You are solely responsible for evaluating outputs, reviewing code changes, and for any decisions or actions taken by your AI agents using our platform. We provide no warranties regarding accuracy, completeness, or fitness for a particular purpose.

4. Subscriptions, Billing, and Taxes

  • Some features require a paid subscription. Fees are billed via Stripe and renew automatically each billing period until canceled.
  • You authorize us and our payment processor to charge your payment method for applicable fees and taxes.
  • You may cancel at any time; cancellation takes effect at the end of the current billing period. Fees paid are non‑refundable unless required by law.

5. Intellectual Property

  • We and our licensors retain all rights in the Services, including software, documentation, and branding.
  • You retain your rights in content you upload, sources you index, memories you store, and files you manage. You grant us a limited license to host, process, index, and provide access to such content solely as necessary to operate the MCP server Services and enable your AI agents to utilize the tools and resources you configure.

6. Acceptable Use

  • No reverse engineering, scraping, or interfering with security or access controls.
  • No use to create competing datasets or services using bulk extraction of outputs.
  • No infringement, defamation, harassment, or violation of privacy or other rights.

7. Beta Features

We may offer beta or preview features. These are provided on an "AS IS" basis, may change at any time, and may be subject to additional terms.

8. Privacy

Our Privacy Policy explains how we collect and process personal information. By using the Services, you agree to our Privacy Policy.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR‑FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ASIMOV OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You will defend, indemnify, and hold harmless Asimov and our affiliates from and against any claims, losses, and expenses (including reasonable attorneys’ fees) arising from or related to your content, your use of the Services, or your breach of these Terms.

12. Suspension and Termination

We may suspend or terminate access to the Services at any time for violation of these Terms, legal reasons, or risk to the platform or other users. You may stop using the Services at any time. Upon termination, your right to use the Services will cease, but provisions that by their nature should survive (e.g., intellectual property, disclaimers, limitations, and indemnities) will continue to apply.

13. Changes to the Services and Terms

We may modify the Services or these Terms from time to time. If we make material changes, we will provide notice, for example by posting an updated version with a new effective date. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws applicable in your place of residence to the extent required by mandatory local law; otherwise, they are governed by the laws of the United States without regard to its conflicts of law principles. Venue for any disputes will be in a competent court of jurisdiction where we are primarily established, unless mandatory law provides otherwise.
